Terms & Conditions

1. Scope

IDFC FIRST Academy platform, is an initiative by IDFC FIRST Bank Limited (“the Bank”). This document lays out the General Terms and Conditions (“Terms and Conditions”) which shall be applicable to all the readers, visitors of and user (“Users”/”User”) of IDFC FIRST Academy platform/website/ application (collectively, “the Academy Platform” and or “the Site”). These Terms and Conditions, including any changes/modifications thereto from time to time, shall govern the relationship including, without limitation, all usages and transactions between the user of the Academy Platform and the Academy Platform/the Bank and shall govern the general relationship and the particular services, access and use of the material/contents made available on the Site including such other services/facilities that may be made available to the User at the sole discretion of the Bank (collectively, “the Facilities” and/or “the Material”) . These Terms and Conditions are in addition to the terms and conditions as may be specified in any other document(s) as may apply to a particular, Facilities, services or transaction. In the event of any of these Terms and conditions being contrary to those specified therein, the terms and conditions as specified in such other document(s) in respect of a particular Facilities or services or transaction as the case may will prevail over these Terms and Conditions.

2. Acceptance

The User unconditionally and irrevocably accepts and agrees to comply with and be bound by these Terms and Conditions, as in force and the changes thereto from time to time as communicated and / or made available on the Site. Without prejudice to the foregoing, the use of the Academy Platform by the User will be an informed and deemed acceptance of the Terms and Conditions. No act, delay or omission by the Academy Platform or the Bank shall affect its rights, powers and remedies under these Terms and Conditions.

3. Indemnity

I. The User agrees, at its own expense, to indemnify, keep indemnified, defend and hold harmless the Academy Platform/ the Bank, its Affiliates, directors, employees, representatives, agents against any and all claims, suits, damages, losses, action or other proceeding which are based on or arises out of or in connection with:

Use of the Academy Platform
Violation of the Terms and Conditions, breach of any covenant or obligation to be performed by the User/ any authorized personnel of the User; or
Any misrepresentation or breach of representation or warranty made by the User; or
Any loss due to any virus or malware that may enter the Academy Platform’s or any of its Affiliates, sub-contractors, agents or service provider's system; or
Any errors, delays, problems or non-receipt of any instructions / requests / applications claimed to have been sent by the User/authorised personnel of the User; or
Any of them acting or refraining to act pursuant to, in accordance with or relying upon, any instructions / requests / applications.

II. The User agrees to pay any and all costs, damages and expenses, including, but not limited to, attorneys' fees and costs awarded against it or otherwise incurred by or in connection with or arising from any such claim, suit, action or proceeding attributable to any such claim.

III. The User acknowledges and understands that the internet per se is susceptible to a number of frauds, misuse, hacking and other actions that could adversely affect the User's use of the Academy Platform/Site. Whilst the Academy Platform shall aim to provide security to prevent the same, there cannot be any guarantee from such internet frauds, hacking and other actions that could affect the use of the Site including result in delay or failure in processing the requests/ applications made herein. The User shall separately evaluate all risks arising out of the same and the Academy Platform/ the Bank shall not be responsible for the same.

4. Variation of Terms and Conditions

I. The Bank/ Academy Platform reserves the right, in its sole discretion, to vary or amend the whole and/or any part of these Terms and Conditions at any time and from time to time without any prior notice or intimation to the User and the User agrees to be bound by such amended /modified Terms and Conditions.

II. Notification of any changes may be given by the Bank/ Academy Platform to the User by e-mail, text or WhatsApp message and app notification, however, sending such notification is discretionary and not mandatory on the Bank or the Academy Platform . The amended terms and conditions shall be binding on the User forthwith.

5. Miscellaneous/other terms and conditions: The User unconditionally agrees that

I. The User shall not hold the Bank or Academy Platform liable on account of the Bank/ Academy Platform acting in good faith on any instructions given by the User or on account of delay or inability on the part of the Bank or Academy Platform to act immediately or at all on any of the User’s instructions.

II. In following any instructions with regard to any of the facilities, the Bank/ Academy Platform will be doing so on a best-effort basis.

III. The Bank /Academy Platform may in its discretion and, from time to time, charge for any or all of the Facilities, wholly or in part.

IV. Nothing contained herein shall require the Bank /Academy Platform to violate any Law or Regulation related to any activity.

V. The User hereby understands:

Contact numbers and email id registered and/or available with the Bank/Academy Platform will be considered for telemarketing offers for products offered by the Bank/Academy Platform in India. The Bank/Academy Platform shall not be liable or responsible for any calls made on a number not registered with the Platform.
Any subsequent change in the telephone numbers or email id would need re-registration with the Academy Platform.
Notwithstanding any registration on a Do Not Disturb Registry, the User hereby understands and agrees that the Bank/Academy Platform and all such third parties as duly authorized by the Bank/Academy Platform shall be authorized to contact/get in touch with the User for purposes of administering or servicing (other than marketing/sale) of any of the Academy Platform’s products/ services availed of by the User.
The User is fully aware that the Bank/Academy Platform sends SMS /email alerts to Users on all account / Facilities related transactions promptly on the mobile number/email id shared at the time of account opening or registration / updated subsequently and any failure to update contact /email information with the Platform may result in loss to the User.

VI. User shall solely be responsible at their own cost to have a proper internet or wifi connection for using the Site or the App. All the terms of the agreement of the User’s mobile network provider /internet /wifi provider will continue to apply to the User.

VII. The Academy Platform stores and processes personal data that the User has provided to us, to provide Facilities and access to contents, dealing with personal data shall also be governed by the privacy policy, as hosted on the Site.

VIII. The Academy Platform may use third-party services that comes with their Terms and Conditions, which User should read and understand, and the same may be accessed from the respective third-party service providers websites viz. Google, Google Play, LinkedIn, WhatsApp, Facebook, etc.

IX. User promises accept updates to the application as when released by the Academy Platform

X. User acknowledges and agrees that the Bank may stop providing access to the Academy platform/Site or the app, and may terminate use of it at any time without giving notice of termination to the User.

XI. In order to use certain or full features of the Academy Platform /Site, User is required create and register user account on the Academy Platform. The User shall solely be responsible for maintaining the confidentiality of his/her account, user id and password, and the User expressly agree and accept the responsibility and liability for all activities that may occur under his/her account.  The User shall be fully liable for the losses or damages or consequences that IDFC FIRST Academy/Bank or others incur or suffer due to any unauthorized or illegal use of User’s account and Facilities. The User agree that the information and the data that has been provided to Academy Platform , whether at registration or at any other time, will be true, accurate, current, and complete in all respect and shall be kept accurate at all times.  If the User has a reason to believe that his/her account is compromised or hacked or no longer secure, the User agrees to immediately inform the Bank at IFA.help@idfcfirstbank.com.

6. Intellectual Property Rights

I. The User acknowledges and agrees that the software and hardware including underlying internet related software which are required for accessing Academy Platform are the legal property of the Bank or /and its third-party service providers, if any. The permission given by the Bank /Academy Platform to access Academy Platform will not convey any proprietary or ownership rights in the above software / hardware/Materials/Facilities. The User also agree that he/she shall not attempt to modify, translate, disassemble, decompile or reverse engineer the software / hardware, Facilities and Materials made available on the Academy Platform or create any derivative product. Further, the User shall not use any network monitoring or discovery software to determine the Site / Academy Platform’s site architecture, or information about Users, usages, identities of the Users. User is prohibited to copy or modify the Site, any part of the app, or our trademarks or copywrites in any way or to attempt to extract the source code of the Site.

II. The copyright, trademarks, logos, slogans and service marks displayed on the Site are registered and unregistered intellectual property rights of Bank and/or of respective intellectual property right owners. Nothing contained on the Site should be construed as granting, by implication, estoppels, or otherwise, any license or right to use any intellectual property displayed on the Site without the written permission of Bank or such third party that may own the intellectual property displayed on the Site. The Bank grants the right to access the Site to the User in accordance with these Terms & Conditions mentioned herein. The User acknowledges that the services including, but not limited to, text, content, photographs, video, audio and/or graphics, are either the property of, or used with permission by, Bank and/or by the content providers and may be protected by applicable copyrights, trademarks, service marks, international treaties and/or other proprietary rights and laws of India and other countries, and the applicable terms & conditions.

III. The User agrees and understands that everything he/she views or reads on the Site (collectively referred to as “content”) is copyrighted/ protected by intellectual property laws unless otherwise provided and may not be used, except as provided in these Terms & Conditions, without the prior written permission of Bank or the relevant copyright owner. Any breach of the restrictions on use provided in these Terms & Conditions is expressly prohibited by Law or regulation, and may result in severe civil and criminal penalties. The Bank shall be entitled to obtain equitable relief (including all damage, direct, indirect, consequential and exemplary) over and above all other remedies available to it, to protect its interests therein.

IV. The Site may provide hyperlinks to websites not controlled by the Bank and such hyperlinks do not imply any endorsement, agreement on, or support of the content, products and /or services of such websites. The Bank /Academy Platform doesn’t editorially control the content, products and /or services on such websites and shall not be liable, in any nature whatsoever, for the access to, or the inability to access to, or the use, inability to use or content available on or through such websites.

7. Limitations on right to use

I. The Bank/ Academy Platform grants the User a non-exclusive, non-transferable, revocable, limited right to access the Site and content therein to the User in accordance with these Terms & Conditions mentioned herein. The Bank/ Academy Platform may terminate this right and access to the Site at any time for any reason and, in any such case, may delete without notice to the User any data or information that User have provided.

II. The Bank /Academy Platform reserves the right to limit availing of the minimum and / or maximum Facilities or access to the contents. The contents or Materials and Facilities available on the Academy Platform are strictly for personal use of the User only and not for commercial use of any sort and nature including and not limited for selling or marketing or promotional or knowledge sharing or awareness purposes.

III. User and any other person or entity is strictly prohibited from reproducing, modifying, amending, engineering, reverse engineering, disassembling, distributing, transmitting, reusing, reporting or using or licensing, sublicensing, or creating any derivative works from the Facilities or contents or Materials available on the Academy Platform and shall also not use the contents/Materials for any illegal purposes.

IV. User shall not use the Facilities or Materials in any way or manner that may affect or harm or prejudice the interest of the Bank, its employees, directors, officers, representatives, agents, service providers, licensors any other party connected with the Bank.

V. User shall not upload or disseminate or distribute on or through this Site any content or material containing any advertising, promotion, marketing material, solicitation for goods or services or funds or solicitation for others without the express written permission of the Bank. In no event may any person or entity solicit anyone with content retrieved from this Site.

8. No financial or other advice

I. The User acknowledges and agrees that the Materials, contents, literacy information/material and courses as available on the Academy Platform/Site are solely for information purpose and subject to completion, revision, and verification are not intended to and do not constitute or shall not be construed as any direct or indirect financial advice or any type of advice by the Bank/Academy Platform.

II. The Bank shall not be responsible for any direct/indirect loss or liability incurred by the reader for taking any financial decisions based on the contents and information. Please consult your financial advisor before making any financial decision. The course or program /blogs are not officially accredited, approved or endorsed by any educational institution or competent educational authority.

III. The Bank/Academy Platform does not warrant or guarantee the accuracy, correctness, completeness, or adequacy of the Materials and contents of the Academy Platform. Use of the Materials on this Site or of any materials linked to or from this Site is at the User’s own risk as to the cost and all sort of liabilities and consequences thereof and the Bank / Academy Platform shall not be responsible in any manner.

9. Disclaimer

I. This website /Academy Platform is owned and maintained by the Bank. The Site and Materials are provided on an “as is, as available, with all faults” basis. The Bank/ Academy Platform expressly disclaims all warranties, including the warranties of merchantability, fitness for a particular purpose, and non-infringement. Anyone using the information and/or material hosted on the website shall be doing so on his/her own judgement. The information and materials, the terms & conditions and any description of whatsoever nature hosted or appearing on the Site is subject to change. Hyperlinks to other internet resources are at your own risk; the content, accuracy, opinions expressed, and other links provided by these resources are not investigated, verified, monitored, or endorsed by the Bank/Academy Platform. Not all products and services/Materials displayed/hosted on the Site are available in all geographic areas. Your/User’s eligibility for any products and services/Facilities/Materials available / hosted on the Site shall be subject to discretion of the Bank/ Academy Platform. In no event will the Bank /Academy Platform be liable for any damages, including without limitation direct or indirect, special, incidental, or consequential damages, losses or expenses arising in connection with the Site or use thereof or inability to use by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure.

II. You /User agree to indemnify and keep the Bank and Academy Platform fully and effectively indemnified against any action, liability, cost, claim, loss, damage, proceeding or expense (including legal fees, costs and expenses on a full indemnity basis) suffered or incurred by the Bank / Academy Platform arising from or which is directly or indirectly related to (a) your/User’s access and/or use of Site and/or any other person or entity’s use of the Site where such person or entity was able to access the website/Site using your/User’s user id and/or password, if any required for such access; (b) or any breach or non-observance of the terms and conditions relating to the use of website by you/User or by any other person or entity where such person or entity was able to access and/or use the website by using your/User’s user id and login password, if any required for such access.

III. All information submitted to the Bank / Academy Platform via this website/Site shall be deemed and remain the property of the Bank / Academy Platform and the Bank / Academy Platform shall be free to use, for any purpose, any idea, concepts, know-how or techniques contained in information that you/User provide to the Bank/ Academy Platform through this website/Site. The Bank/ Academy Platform shall not be subject to any obligations of confidentiality regarding submitted information except as agreed by the Bank / Academy Platform with you or as required by law. This website and disclaimer shall be governed by and construed in accordance with all applicable laws of India.

IV. The Bank/ Academy Platform disclaims all responsibility and liability for any loss, injury, claim, liability or damage of any kind resulting from, arising out of or in any way related to (a) any errors in or omissions from this Site or Materials, including but not limited to technical inaccuracies and typographical errors, incorrectness of information (b) any third party web sites, or any content therein, that are accessed directly or indirectly through links in this Site, including but not limited to any errors in or omissions therefrom, (c) the unavailability of this Site, the Materials, or any portion thereof, (d) your use of this Site or Materials, or (e) your use of any equipment or software in connection with this Site or Materials(f) any and all other mattes and liabilities arising out of or in connection with this Site and use thereof.

V. IDFC FIRST Academy platform is an initiative by IDFC FIRST Bank Limited (“Bank”) to promote financial literacy. IDFC FIRST Academy should not be construed as an educational institute or academy. The contents of IDFC FIRST Academy Platform and literacy material thereof are meant solely for information purpose and subject to completion, revision, and verification. The contents and courses are not intended to and do not constitute or shall not be construed as any direct or indirect financial advice or any type of advice by the Bank. The Bank shall not be responsible for any direct/indirect loss or liability incurred by the reader or user of the academy platform for taking any financial decisions based on the contents and information. The courses or program or certification thereof are not an officially accredited, approved, or endorsed by any educational institution or any competent authority. 10. Limitation of liability

I. The User needs to their PCs/laptops/mobiles /tablet/devices scanned on a regular basis and be updated with the latest antivirus software available. The Bank / Academy Platform shall not be responsible in case of any data loss or theft due to the virus transmitted in the system through the usage of the Site.

II. The Bank / Academy Platform shall not be liable for delay in performing or failure to perform any of its obligations under these Terms & Conditions. The Academy Platform accepts no liability for any loss or damages or costs , direct or indirect, that User experience as a result of relying wholly on this functionality of the Academy Platform.

III. The Bank/ Academy Platform is not liable for any loss, injury, claim, liability or damage of any kind resulting from or arising out of your/Users use of this Site, the Materials. The Bank/ Academy Platform is not liable for any direct, indirect, special, incidental, punitive or consequential damages of any kind whatsoever (including, without limitation, attorneys' fees) in any way due to, resulting from or arising in connection with (a) the use of or inability to use this Site or the Materials, relying on the information /literacy material (b) any materials on third party web sites, (c) any viruses or other disabling features that affect your /Users access to or use of the Facilities/services, (d) any incompatibility between this Site and the Materials (e) any decision taken by User relying on the contents/ Materials (f) any claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence or any other tort, all regardless of whether this remedy fully compensates you/User for any losses or whether the Bank was aware of or should have known about the possibility of such damages.

11. Reservation of rights

The Bank/ Academy Platform reserve all the rights to investigate grievances/ complaints or violations or misuse or use or acts of taking advantage or disadvantage of any lacunas of our Terms and Conditions of the Site or any other applicable terms and conditions, and to take any actions, including but not limited to reporting any actual or suspected or unlawful activity to law enforcement authorities, police, cyber authorities, judicial and administrative authorities, regulators or other third parties, as deemed appropriate, and disclosing any information necessary or appropriate relating to you/User, viz. name, user profiles, e-mail id, contact details, address, identity information, as available. The Bank reserves all the rights and remedies available under applicable laws, rules, regulations, including under the present document and equity or otherwise.

12. Severability

Each of the provisions of these Terms and Conditions is severable and distinct from the others and, if at any time one or more of such provisions is or becomes illegal, invalid or unenforceable in any respect under law, the legality, validity or enforceability of the remaining provisions shall not be affected in any way.

13. Jurisdiction

You/User agree that all issues, disputes, claims and matters arising out of or in connection with the usage/browsing of or related to the portal/Site/ Academic Platform shall be to the exclusive jurisdiction of the courts /tribunals of Mumbai, India. However, this should not preclude the rights of the Bank to initiate appropriate proceeding before any other appropriate court or tribunal .
